    A branch office is a subsidiary that operates within Spain, owned by a parent company based in another country, which aims to expand its business globally by establishing this semi-autonomous unit in Spain.

    Setting up a branch in Spain is similar to registering for VAT. In general, it's better to establish an SL or register for VAT. If you want to have a long-term presence in Spain, an SL usually has more tax benefits compared to a branch. When compared to VAT registration, creating a branch requires you to file corporate tax forms in Spain, which is not necessary for VAT registration.

    But a branch office operates as an extension of the parent company without its own legal identity, making daily operations easier and reducing legal responsibilities. It still has access to the main business's strengths, such as capital and brand recognition. Usually, if the business needs a steady flow of cash, a branch office is a better choice as it allows for easy transfers from the parent company.

    The process of setting up a branch office in Spain begins with a resolution from the parent company's board of directors. They will appoint a representative with the authority to make decisions and formalize the establishment process. The representative will need to obtain an NIE number to open a bank account in Spain.

    A public deed must be signed at a notary office, including the name of the branch, its activities, representatives and registered office. The parent company's bylaws must also be provided, along with legally translated and legalized documents.

    The documents will be deposited at the Mercantile Registry, which takes 5-6 days to process. The branch owner will then need to obtain a tax ID number (NIF) and register the company in the business census by filling out a form and the city hall must be notified once the branch operations have started.
